1. Acceptance of Terms
Eden Exchange Proprietary Limited trading as the Green Asset Exchange ("GA Exchange") operates an exchange platform through which Participants engage in the sale and purchase of Green Assets ("Market").
By accessing or using the GA Exchange website ("Website") the Exchange or any of its Services, you agree to be bound by these terms and conditions ("Website T&Cs") and the Trading Terms. If you do not agree to these Website T&Cs and Trading Terms, please do not access or use the Website, the Exchange or its services.
The GA Exchange may update the Website, these Website T&Cs, the Trading Terms, from time to time in its discretion. Each time a User uses the Website, it is their responsibility to review the Website, these Website T&Cs or thee Trading Terms in case of any such updates or amendments. If a User does not agree to the GA Exchange's updates or amendments, such User must not continue to use the Website, the Exchange or the Market.
2. Definitions
In these Website T&Cs, unless the context indicates a contrary intention, the following words and expressions bear the meanings assigned to them and cognate expressions bear corresponding meanings —
● "Exchange" means the electronic trading platform operated by the GA Exchange allowing Participants to trade Green Assets in the Market;
● "GA Exchange" means Eden Exchange Proprietary Limited trading as the Green Asset Exchange, registration number 2021/636337/07, a limited liability private company duly incorporated in South Africa ;
● "Green Assets" means South African Carbon Credits, Renewable Energy Certificates or Global Voluntary Carbon Credits;
● "Market" has the meaning given to that term in clause 1;
● "User" means any person who accesses or uses the Website, the Exchange or the Services;
● "Services" mean all of the services offered by GA Exchange through its Website;
● "Trading Terms" means these terms set out how the GA Exchange will operate the Market, which Trading Terms are and are binding on the Market, the GA Exchange and all Users;
● "Website" means the GA Exchange website, located at www.greenassetexchange.com .
3. License to Use
GA Exchange grants you a non-exclusive, non-transferable license to access and use the Website and Services for your personal, non-commercial use. You may not use the Website or Services for any commercial purpose other than participating in the Market, including but not limited to advertising, marketing, or solicitation.
4. Restrictions
You agree not to:
● Use the Website or Services for any unlawful or unauthorized purpose;
● Copy, modify, or distribute any content from the Website or Services without GA Exchange's prior written consent;
● Transmit any viruses or other malicious code to the Website or Services;

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GA EXCHANGE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, THE EXCHANGE OR SERVICES, EVEN IF GA EXCHANGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Governing Law and Dispute Resolution.
These Website T&Cs shall be governed by and construed in accordance with the laws of the Republic of South Africa.

10. Entire Agreement
These Website T&Cs together with the Trading Terms and the Application Form (as defined in the Trading Terms) constitute the entire agreement between you and GA Exchange with respect to your use of the Website, the Exchange and the Services.
11. Severability
If any provision of these Website T&Cs is held to be invalid or unenforceable, such provision shall be struck from these Website T&Cs and the remaining provisions shall remain in full force and effect.
12. Waiver
No waiver of any provision of these Website T&Cs shall be effective unless in writing and signed by both you and GA Exchange.
